By accessing or using VisionScan's services, website, or mobile applications ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

VisionScan provides AI-powered retinal imaging and diagnostic services to detect and monitor eye conditions. Our Services include:

  • Retinal imaging and scanning
  • AI-assisted analysis and diagnostic reports
  • Telehealth consultations with eye care specialists
  • Patient portal for accessing medical records and results
  • Educational resources and health information

3. Medical Disclaimer

IMPORTANT: VisionScan's Services are intended to assist healthcare providers in diagnosing and treating eye conditions. Our AI analysis is a clinical decision support tool and does not replace professional medical judgment. Always consult with a qualified healthcare provider for medical advice, diagnosis, or treatment.

VisionScan is not responsible for medical decisions made by healthcare providers or patients based on our diagnostic reports. In case of medical emergency, call 911 or seek immediate medical attention.

4. Eligibility and Account Registration

Eligibility

  • You must be at least 18 years old to create an account
  • Parents or legal guardians may create accounts for minors
  • You must provide accurate and complete information
  • You are responsible for maintaining account confidentiality

Account Security

  • You are responsible for all activities under your account
  • Notify us immediately of any unauthorized access
  • Do not share your account credentials with others
  • Use strong passwords and enable two-factor authentication

5. Acceptable Use

You agree NOT to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Upload viruses, malware, or harmful code
  • Impersonate any person or entity
  • Harvest or collect user information without consent
  • Use automated tools to access the Services (bots, scrapers)
  • Reverse engineer or attempt to extract our proprietary algorithms

6. Healthcare Provider Terms

Healthcare providers using VisionScan agree to:

  • Maintain valid medical licenses and credentials
  • Use clinical judgment in conjunction with AI analysis
  • Comply with all applicable medical regulations
  • Obtain appropriate patient consent before scanning
  • Protect patient confidentiality per HIPAA requirements
  • Report adverse events or device malfunctions to VisionScan

7. Fees and Payment

Pricing

  • Fees are displayed on our pricing page and may vary by service
  • All fees are in U.S. Dollars unless otherwise stated
  • Prices are subject to change with 30 days' notice
  • Some insurance plans may cover VisionScan services

Payment Terms

  • Payment is due at the time of service unless other arrangements are made
  • We accept major credit cards, debit cards, and health savings accounts
  • Late payments may result in service suspension
  • You are responsible for any chargebacks or disputed charges

Refund Policy

  • Refunds may be issued for cancelled appointments (24+ hours notice)
  • No refunds for completed scans or services rendered
  • Equipment malfunctions: full refund or complimentary re-scan

8. Intellectual Property

All content, software, algorithms, trademarks, and materials provided through VisionScan are owned by VisionScan, Inc. or our licensors. You may not copy, modify, distribute, sell, or lease any part of our Services without written permission.

Your retinal images and medical records remain your property. By using our Services, you grant VisionScan a limited license to store, process, and analyze your images for providing services and improving our technology (using de-identified data only).

9. Privacy and Data Protection

Your use of the Services is governed by our Privacy Policy. We are committed to protecting your personal health information in compliance with HIPAA, CCPA, and other privacy laws. See our HIPAA Compliance page for details.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIONSCAN SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Medical outcomes or treatment decisions
  • Errors or inaccuracies in AI analysis (though we strive for accuracy)
  • Service interruptions or technical failures
  • Third-party actions or content

Our total liability for any claims shall not exceed the amount you paid for services in the past 12 months.

11. Indemnification

You agree to indemnify and hold VisionScan harmless from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or violation of any third-party rights.

12. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VISIONSCAN DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Termination

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Fail to pay fees
  • Create security or legal risks

You may terminate your account at any time by contacting support. Upon termination, you lose access to the Services, but we retain your medical records as required by law.

14. Dispute Resolution

Arbitration Agreement

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive the right to participate in class actions.

Exceptions

  • Claims for injunctive or equitable relief
  • Disputes related to intellectual property
  • Small claims court matters (under jurisdictional limits)

15. Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in San Francisco County, California.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Services. Continued use after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
